Referral Agent Terms and Conditions.

1. These are the Terms and Conditions under which you become a Referral Agent for Africa-Car-Hire.com, and you agree to abide by them.
2. The obligations of Africa-Car-Hire.com to Referral Agents shall be strictly and expressly limited to the obligations specifically contained in these Terms and Conditions.
3. Africa-Car-Hire.com acts solely as a facilitator and Internet-based administrator of Agent referrals, on behalf of vehicle rental companies who enter into contract with Africa-Car-Hire.com. Africa-Car-Hire.com undertakes the payment of any commissions earned by rental referrals to registered Agents.
4. No person who is:
   1. Under the age of 18
   2. Otherwise a legal minor
   3. For any legal reason excluded from owning or operating any commercial enterprise
   4. Not permitted under law to own or operate a bank account
   may register as a Referral Agent for Africa-Car-Hire.com.
5. Becoming a Referral Agent for Africa-Car-Hire.com places you under no obligation to Africa-Car-Hire.com. Specifically, there is no obligation on the part of any Agent to make any referrals to Africa-Car-Hire.com's website, at any time.
6. On registration with Africa-Car-Hire.com, you will be supplied by Africa-Car-Hire.com with details of your registration including a Referral Agent ID number and a URL. The supplied URL must be used in a web-page on the World Wide Web to make referrals to the Africa-Car-Hire.com site. All referrals originating from the referral URL will be logged by Africa-Car-Hire.com. Any such referral which leads to a successful vehicle rental will entitle you to receive 10% of the final rental amount for that rental (excluding surcharges and taxes) as successfully paid by the renter, as agent's commission payable by Africa-Car-Hire.com. Referral Agents are wholly responsible for ensuring that referrals are made correctly by means of the Africa-Car-Hire.com system and Referral Agent URL supplied by the system; Africa-Car-Hire.com is not responsible for administering referral commissions on any and all bookings made without using Referral Agent URL's, and no commission on such bookings will be paid by Africa-Car-Hire.com.
7. For the purposes of this agreement, a successful rental is defined as one in which the renter collects, uses, returns and pays for a vehicle booked under your Agent ID, and is only deemed finally successful once the payment has actually been credited to the rental company's bank account. No payments whatsoever will be made on referrals which do not result in a successful paid rental, under any circumstances.
8. The vehicle rental companies contracted to Africa-Car-Hire.com will pay to Rental Agents on the 15th day (or 1st business day thereafter if the 15th is not a business day or otherwise as soon as possible thereafter) of the month following that in which the successful rental was concluded, such commissions as are due the Agents, provided that such commission amounts owing shall on that day be greater than R100.00 (one hundred South African Rand) per individual Agent. If the amount owing to any individual Agent is less than R100.00, payment to that individual Agent shall be deferred until such time as the amount owing exceeds R100.00.
9. Africa-Car-Hire.com reserves the right to terminate all or any Referral Agent agreements at any time, subject to Africa-Car-Hire.com's discretion. In particular, should Africa-Car-Hire.com suspect any fraudulent activity on the part of any Referral Agent regarding rental referrals, Africa-Car-Hire.com shall immediately suspend its agreement with the Agent concerned pending full investigation. In such case, all payments of monies to the offending Agent shall be suspended until the matter is resolved to the satisfaction of Africa-Car-Hire.com.
10. No Agent shall supply the Referral URL received from Africa-Car-Hire.com for use on any web-site not specifically belonging to the Agent or not specifically belonging to or affliated with the Agent's commercial enterprise(s). Such use of the Referral URL shall be deemed fraudulent by Africa-Car-Hire.com.
11. Africa-Car-Hire.com agrees to provide all registered Referral Agents with Internet access to their individual accounts, provided such accounts have not been suspended by Africa-Car-Hire.com. Such access shall be limited to:
    1. Viewing and amending the profile under which the Agent has registered
    2. Access to a summary of the referral activity on the Agent account
    3. Information regarding referrals made under the respective Agent's ID, being at least an identifying booking reference and date of referral for each registered referral under the Agent's ID
    4. An interface expediting communication between Agents and Africa-Car-Hire.com
    5. An interface allowing any Agent to deactivate their account at any time, at the Agent's discretion
12. Arrangements for payment of commissions shall be made by the vehicle rental companies contracted with Africa-Car-Hire.com, after communication with Agents, once their commission owing has exceeded R100.00 for the first time - see 7 above.
13. Agents will be notified by e-mail of commission amounts due them once monthly. Agents must forward to Africa-Car-Hire.com an invoice for the commission owed them before payment of any commission will occur. Any commission amounts unclaimed after 60 days from date of notice of commission due, will be forfeit.
14. Africa-Car-Hire.com reserves the right to enter into correspondence with any person(s) that institute a booking on the system in order to successfully conclude such booking. No correspondence regarding such bookings will be entered into with any Agent unless said agent can provide Africa-Car-Hire.com with the reference number that identifies such booking.
15. Africa-Car-Hire.com reserves the right to make any changes it deems necessary to the Referral System and Booking System without prior warning at any time. Such changes may include, but are not limited to, changes requiring increased security, changes relating to the efficiency of the System, and changes to these Terms and Conditions.
16. Africa-Car-Hire.com or its affiliates may from time to time agree to provide participating Agents with incentives for using the referral system. This in no way places any obligation on Africa-Car-Hire.com to fulfil the obligations of its associates, nor to provide said incentives to any particular Agent at any particular time.
17. Africa-Car-Hire.com accepts no liability for any damages which Agents may suffer through the proper or improper use of this Referral System, which is subscribed to and utilized by Agents entirely at their own risk. No guarantee of income is given, implied or provided by subscription to this Referral System.
